REDOMICILIATION IN THE REPUBLIC OF THE MARSHALL ISLANDS (RMI)

Ongong changes to regulatiions in offshore jurisdictions are making many locatons less desirable than in the past. As explained below, the RMI can be an attractive alternative to persons dissatisfied with the changes they are famcing.

The RMI is attractive because it is a stable jurisdiction that is rated favorably by thEU and OECD, and it allows your redomiciled entity to retain its assets and liabilities.

All non-resident domestic business entities registered in the RMI are governed by the RMI Associations Law. Like many offshore jurisdictions, economic substance compliance is mandatory but it is simple, easy and affordable to comply. No need to do classification nor provide any financial statements or obtain tax ID.

The following fees apply to the redomicilation process:
1. HLA professional fees (preparation of Articles of Domestication & Incorporation, certification of M&A + KYC of up to 4 directors/shareholders via zoom in total) @ USD200. Each additional director or shareholder @ USD50 each
2. Preparation & adoption of Marshall Islands co By Laws - free if you prepare yourself and no recordation (we’ll provide a standard template), OR
3. Preparation, adoption, recordation (or opt to file with Registry) and apostille of Marshall Islands Company ByLaws with Registry @ USD350.

We recommend that you take this option because that will ensure taht you have a cover sheet for your bylaws that is stamped by your registered agent or the RMI. This will preclude any confustion should you need to present the company documents to a bank or for other legal purposes.
If HLA is not currenty your agent for your company, you will need to arrange with your current agent tor outbout processing.
